These Terms of Service ("Terms") govern your access to and use of the website at lpgdigital.com (the "Site") and the services provided by Conversion Edge Marketing Management - FZCO ("LPG Digital", "we", "us", or "our"), including our conversion-rate-optimization ("CRO") consulting and done-for-you services, any client portal, and our newsletter (together, the "Services").

By accessing the Site, subscribing, creating an account, or engaging our Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Acceptance & eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and "you" refers to that organization.

2. Definitions

  • "Client" — a person or entity that engages us for paid Services.
  • "Deliverables" — the reports, designs, recommendations, test results, code, copy, and other materials we produce for a Client.
  • "SOW" — a statement of work, proposal, order form, or engagement agreement describing specific Services, scope, fees, and timelines.
  • "Client Materials" — data, accounts, credentials, content, and assets a Client provides or gives us access to.

3. The Services

We provide CRO consulting and done-for-you services, which may include audits, experimentation strategy, A/B testing, design and copy work, analytics review, and related deliverables, as described on the Site or in an applicable SOW. We may add, modify, or discontinue features of the Site or Services at any time. The specific scope of any paid engagement is defined in the applicable SOW.

4. Accounts & client portal

Some Services require an account or access to a client portal. You agree to provide accurate information, keep your credentials confidential, and remain responsible for all activity under your account. Notify us immediately of any unauthorized access. We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security or legal risk.

5. Engagements & statements of work

Paid Services are governed by an SOW that you and we agree to in writing (including electronically). Each SOW forms part of these Terms. If there is a conflict between an SOW and these Terms, the SOW controls for that engagement. Work outside the agreed scope ("change requests") may require a new or amended SOW and additional fees.

6. Fees, billing & refunds

  • Fees. Fees are as stated on the Site or in the applicable SOW. Unless stated otherwise, fees are exclusive of taxes, which you are responsible for.
  • Payment. Payments are processed through third-party payment providers (for example, Stripe and Paddle). By providing payment details, you authorize us and our provider to charge the applicable fees. Where a provider acts as merchant of record (as Paddle may), your purchase is completed through that provider and is also subject to its terms, and it may handle billing, taxes, and refunds on our behalf.
  • Recurring / subscription fees. Where Services are billed on a recurring basis, they renew automatically for successive periods until cancelled in accordance with the SOW. You authorize recurring charges until you cancel.
  • Late payment. Overdue amounts may incur interest and/or suspension of Services, as permitted by law and set out in the SOW.
  • Refunds. Except where required by law or expressly stated in an SOW, fees are non-refundable once work has commenced. Any specific refund, guarantee, or cancellation terms are set out in the applicable SOW.

7. Your responsibilities

  • Provide timely, accurate Client Materials and the access we need to perform the Services;
  • Ensure you have the rights and permissions to share Client Materials and to grant us access to your systems and data;
  • Comply with applicable laws, including privacy and marketing laws, in your use of Deliverables;
  • Review, approve, and implement recommendations at your discretion and risk;
  • Maintain your own backups of your data and systems.

Delays or failures caused by incomplete Client Materials or lack of access are not our responsibility and may affect timelines and outcomes.

8. Intellectual property

Our IP

The Site, our methods, frameworks, templates, know-how, and all related intellectual property are and remain our property or that of our licensors. Nothing in these Terms transfers ownership of our pre-existing or independently developed materials.

Deliverables

Unless an SOW states otherwise, upon full payment for the relevant engagement we grant the Client a non-exclusive, worldwide license to use the Deliverables for the Client's internal business purposes. We retain ownership of our underlying methodologies, tools, and reusable components, and may use general skills, knowledge, and know-how gained during an engagement.

Client Materials

You retain ownership of Client Materials. You grant us a limited license to use them solely to perform the Services.

Portfolio & results

Unless you tell us otherwise in writing, we may reference the fact that we worked with you and describe anonymized, aggregated results for marketing and case-study purposes. We will not disclose your Confidential Information without consent.

9. Confidentiality

Each party may receive information the other treats as confidential. Each party agrees to protect the other's Confidential Information with reasonable care, use it only to perform under these Terms, and not disclose it except to those who need to know and are bound by similar obligations. This does not apply to information that is public, independently developed, or required to be disclosed by law.

10. Third-party services

The Services may rely on or integrate third-party tools and platforms (for example, analytics, testing, hosting, payment, and advertising services). We are not responsible for third-party services, their availability, or their terms. Your use of them may be subject to separate agreements between you and the third party.

11. Communications & newsletter

By subscribing, you consent to receive our newsletter and related emails. You can unsubscribe at any time using the link in any email. We may also send you service or transactional messages related to your account or an active engagement, which are not marketing and may not be opted out of while the relationship is active.

12. Acceptable use

You agree not to: (a) use the Services unlawfully or in breach of these Terms; (b) infringe others' rights; (c) attempt to gain unauthorized access to our systems; (d) interfere with or disrupt the Services; (e) reverse engineer or resell the Services except as permitted; or (f) use the Services to transmit malware or unlawful content.

13. No guarantee of results

CRO involves testing and experimentation. While we apply professional skill and experience, we do not warrant or guarantee any particular result, including specific increases in conversion rate, revenue, traffic, or return on investment. Outcomes depend on many factors outside our control, including your product, pricing, traffic, market, and implementation. Any examples, benchmarks, or past results are illustrative and are not a promise of your results.

14. Disclaimer of warranties

EXCEPT AS EXPRESSLY STATED IN AN SOW OR REQUIRED BY LAW, THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES; IN THOSE JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW, AND NOTHING IN THESE TERMS LIMITS RIGHTS THAT CANNOT BE EXCLUDED UNDER APPLICABLE CONSUMER LAW.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY.

These limitations do not apply to liability that cannot be limited or excluded under applicable law.

16. Indemnification

You agree to indemnify and hold harmless Conversion Edge Marketing Management - FZCO and its personnel from and against any claims, damages, liabilities, and reasonable costs (including legal fees) arising out of: (a) your breach of these Terms; (b) your Client Materials or your use of the Deliverables; or (c) your violation of any law or third-party rights.

17. Term & termination

These Terms apply while you use the Services. Either party may terminate an engagement as set out in the applicable SOW. We may suspend or terminate your access to the Site or portal immediately if you breach these Terms or create a security or legal risk. On termination, you must pay all fees accrued up to the termination date. Sections that by their nature should survive termination — including IP, confidentiality, disclaimers, liability limits, and indemnity — will survive.

18. Governing law & dispute resolution

These Terms are governed by the federal laws of the United Arab Emirates as applied in the Emirate of Dubai, without regard to conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates, except that either party may seek injunctive relief where appropriate. Before commencing formal proceedings, the parties agree to attempt in good faith to resolve any dispute by negotiation. Nothing in this section affects mandatory consumer rights available to you under the law of your country of residence.

19. Changes to these Terms

We may update these Terms from time to time. We will revise the "Last updated" date and, where changes are material, take reasonable steps to notify you. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

20. General

  • Entire agreement. These Terms, together with any applicable SOW and our Privacy Policy, are the entire agreement between you and us regarding the Services.
  • Severability. If any provision is held unenforceable, the rest remains in effect.
  • No waiver. Our failure to enforce a provision is not a waiver of it.
  • Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
  • Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
  • Notices. We may provide notices to you by email or by posting on the Site.
